Terms and conditions

Scope

These terms apply to public cohort seats and private training engagements delivered by Kernel Systems Academy. A private engagement is additionally governed by the written proposal and any client contract, which takes precedence where they differ.

Booking and payment

A booking reserves a seat for five business days pending invoice. Payment is due within 30 days of invoice unless agreed otherwise. Purchase orders are accepted. Invoicing is available in USD, EUR, GBP, SAR and CAD. Prices exclude VAT, GST and any local taxes, which are added where applicable.

Delivery

Public cohorts run on the published dates subject to minimum numbers. Private engagements run on the dates set out in the proposal. Travel and accommodation for on-site delivery are charged at cost unless a fixed amount is agreed in advance.

Minimum numbers

A public cohort requires a minimum enrolment to proceed. If that minimum is not met, the cohort may be cancelled under the cancellation policy.

Materials and intellectual property

All course materials, slides, lab guides and environments remain the property of Kernel Systems Academy. Attendees receive a personal, non-transferable licence to use them internally. Materials may not be reproduced, redistributed or used to deliver training to others without written permission.

Confidentiality

Any client information disclosed during scoping or delivery is treated as confidential and not used outside the engagement. A client NDA can be signed on request.

Liability

Liability is limited to the fees paid for the engagement in question. We are not liable for indirect or consequential loss, including loss of profit or data.

Governing law

These terms are governed by the laws of the Province of Ontario, Canada.
